End-User License Agreement (EULA) for inFlow® Printer Driver
IMPORTANT – PLEASE READ CAREFULLY
This End-User License Agreement (“EULA”) is a legal agreement between you (“User”) and Archon Systems Inc. (“Archon Systems”), which governs your use of the inFlow® Printer Driver software (“SOFTWARE”) provided for the inFlow® Mobile Label Printer, Model S310s (“Printer”). By downloading, installing, or using the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to these terms, you are not authorized to use the SOFTWARE.
Terms and Conditions
1. Ownership
All rights, titles, and interest in and to the SOFTWARE are owned by Archon Systems or its licensors. The SOFTWARE is licensed, not sold, to you. Nothing in this EULA shall transfer ownership of the SOFTWARE or any associated intellectual property rights to you.
2. Grant of License
2.1 Archon Systems grants you a non-exclusive, non-transferable license to download, install, and use the SOFTWARE solely for operating the inFlow® Mobile Printer model S310s.
2.2 Except as expressly provided in this EULA, you are not granted any additional rights, including but not limited to modifying, reverse engineering, decompiling, or disassembling the SOFTWARE; renting or leasing the SOFTWARE; or making the SOFTWARE available for download to the public.
3. Warranties Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. ARCHON SYSTEMS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISKS ASSOCIATED WITH THE INSTALLATION AND USE OF THE SOFTWARE.
4. Limitation of Liability
IN NO EVENT SHALL ARCHON SYSTEMS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS WHERE LIABILITY LIMITATIONS ARE NOT ALLOWED, ARCHON SYSTEMS’ LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
5. Term
This EULA is effective from the date of installation and remains in effect until terminated. You may terminate the agreement at any time by uninstalling the SOFTWARE. Archon Systems reserves the right to terminate this EULA at any time without notice, including if you breach its terms. Upon termination you will uninstall and cease all use of the SOFTWARE.
6. Privacy Policy
Your use of the SOFTWARE is subject to Archon Systems’ Privacy Policy, which governs the collection, use, and storage of your personal information. By using the SOFTWARE, you agree to the terms outlined in our Privacy Policy, available on our website.
7. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the Province of Ontario and of Canada applicable therein, without regard to its conflict of law principles. If any provision of this EULA is deemed unenforceable, the remaining provisions shall remain in full force and effect.
8. Export Compliance
The SOFTWARE may be subject to export and import laws of Canada, the United States, and other countries. You agree to comply with all applicable export laws and regulations. The SOFTWARE may not be downloaded, installed, or used in any jurisdiction prohibited under such laws.
9. Updates and Modifications
Archon Systems may update or modify the SOFTWARE at its discretion. By continuing to use the SOFTWARE, you agree to be bound by the terms of the updated EULA, which will be made available with any updated version of the SOFTWARE.
10. No Third-Party Beneficiaries
This EULA does not create any third-party beneficiary rights. All agreements and obligations are strictly between you and Archon Systems.
11. Support
Support for the SOFTWARE may be provided by Archon Systems at its sole discretion. Availability of support does not imply any ongoing obligation to maintain or update the SOFTWARE.
12. Additional Terms
If you have agreed to any separate terms offered by Archon Systems or third-party providers in relation to specific features of the SOFTWARE, such terms shall prevail in the event of a conflict with this EULA.
By installing or using the SOFTWARE, you acknowledge that you have read and understood this EULA and agree to be bound by its terms. If you do not agree, do not install or use the SOFTWARE.
